These terms apply to businesses that work with Hive Solutions and to everyone who uses our client app. If you have a signed agreement with us, that agreement comes first wherever the two differ.
1. Who we are
Hive Solutions is a brand of Kai Markets, based in Vilnius, Lithuania ("Hive Solutions", "we", "us"). "You" means the business that works with us, and anyone using the client app on its behalf.
2. These terms and your agreement
By using our services or the client app at app.hivesolutionshq.com, you accept these terms. Our services are for businesses only, and you must be at least 18 and authorized to act for your business.
The scope of work, fees, start date, any promise about results and its conditions are set out in a separate written agreement signed by you and us (the "Agreement"). If the Agreement and these terms conflict, the Agreement wins.
3. What we provide
Depending on your Agreement, we may: plan and run Meta ads for your business using your photos and clips; set up lead forms; text homeowners back when they ask for a quote or miss you on the phone; use AI and staff to answer and book appointments on your calendar; send reminders and follow-ups; request reviews; and give you the client app to see your appointments and results.
We may improve or change features over time. We will not remove something your Agreement promises without telling you and agreeing a fair solution.
4. Accounts and security
- Give accurate details when you set up your account and keep them current.
- Keep your login details private. Each person needs their own login; don't share one.
- You are responsible for what happens under your account and for the people you give access to. Remove access when someone leaves.
- Tell us right away at hello@hivesolutionshq.com if you think someone got into your account.
- We may lock an account to protect it if we see signs of misuse, and will tell you why.
5. Your responsibilities
- Give us the access we need (your Meta page and ad account as a partner, your calendar, your business details) and keep it in place.
- Make sure what you tell us about your business, prices, services, licenses, insurance and service area is true, so ads and replies are true.
- Only send us photos, clips, reviews and logos you have the right to use.
- Follow up on the homeowners we book, show up to estimates, and honor any offer you approved for your ads.
- Hold the licenses, permits and insurance your trade needs. You are responsible for the work you do for homeowners.
6. Texting, calls and consent
US law (including the Telephone Consumer Protection Act) and carrier rules control who can be texted and how. We build our flows to text people who contacted your business or asked for a quote, to honor STOP requests at once, and to keep the opt-in records. You agree:
- not to ask us to text people who have not given you permission, or to upload contact lists unless you have the consent the law requires for them;
- to tell us right away if anyone asks you to stop texting them, so we can block them;
- that we may refuse or pause any message, campaign or list that we believe breaks the law or carrier rules.
Our SMS Terms explain the program to the people receiving messages.
7. Acceptable use
You may not use our services or the client app to:
- send spam, or messages that are false, misleading, harassing, hateful or threatening;
- advertise anything illegal, or make claims about your work, prices, reviews or results that are not true;
- post fake reviews or testimonials, or ask us to;
- break Meta's advertising policies, carrier rules or any law;
- collect personal data you are not allowed to collect, or use homeowner data for anything other than serving that homeowner;
- try to access accounts or data that are not yours, probe or break our security, or overload our systems;
- copy, scrape, resell, reverse engineer or build a competing product from the app or our materials.
8. Meta and other platforms
Our services rely on platforms we do not control, including Meta, mobile carriers, our CRM and texting provider and calendar tools. Their rules, reviews, outages and decisions (for example rejecting an ad, restricting an ad account, or filtering messages) can affect your results. We work to fix these quickly, but we are not responsible for a platform's decisions or downtime. Your ad account belongs to you, and your use of each platform is also governed by its own terms.
9. AI replies
Some messages to homeowners are written by AI and sent automatically. We set the AI up from your business details, test it, and watch conversations, and you can ask us to change what it says at any time. AI can still make mistakes. It is not allowed to quote prices, make promises or agree terms for you unless you have told us in writing that it may. If you see a wrong answer, tell us and we will correct it.
10. Results
Advertising results depend on things outside our control, including your market, season, prices, reviews, how fast you follow up, and the platforms. We do not guarantee any number of leads, booked estimates, sales or revenue, except where your signed Agreement says so in writing, and then only on the conditions stated there. Examples of past results on our website are real but are not a promise of what you will get.
11. Fees and ad spend
Fees, billing dates and any refunds are set out in your Agreement. Recurring fees are charged automatically to the payment method on file. Your ad budget is paid by you directly to Meta and is never part of our fee or any refund. Prices exclude taxes where taxes apply. If a payment fails and is not fixed within 7 days of our notice, we may pause the services until it is.
12. Who owns what
- Yours: your business name, logos, photos, clips and reviews; your ad account; and the data about your leads and customers. You give us permission to use your content to make and run your ads and pages while we work together.
- Ours: the client app, our software, templates, scripts, automations, know-how and anything we build that is not specific to you. You may use them while we work together.
- Ads made for you: you may keep running the ads we made from your content after we stop working together.
- Results: we may describe your results in anonymized or aggregate form. We name your business or quote you only with your permission.
- Feedback: if you suggest improvements, we may use them without owing you anything.
13. Confidentiality and data
Each of us keeps the other's non-public business information confidential and uses it only for our work together. For homeowner data, you are the controller and we process it only on your instructions, as described in our Privacy Policy and in a data processing agreement, which we provide on request or as part of your Agreement.
14. Suspension and ending
Either of us can end the services as your Agreement allows. We may suspend access straight away if you seriously or repeatedly break section 6 or 7, if needed to protect homeowners, our systems or our texting registration, or if the law requires it. When the services end, your access to the app ends, we stop messaging for you, and we handle your data as set out in the Privacy Policy. Sections 10, 12, 13 and 15 to 19 continue after the end.
15. Disclaimers
We provide our services with reasonable skill and care. Apart from what these terms and your Agreement say, the services and the client app are provided "as is" and "as available", and we do not promise they will be uninterrupted or error free.
16. Limitation of liability
- Neither of us is liable for lost profits, lost revenue, lost jobs, loss of goodwill, or indirect or consequential loss.
- Our total liability for all claims relating to the services in any 12-month period is limited to the fees you paid us in the 3 months before the event that caused the claim.
- Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.
17. Indemnity
You will cover our reasonable losses and costs from claims by others caused by your content, your services to homeowners, contact lists or consent you provided, or your breach of sections 6 or 7.
18. Governing law
These terms and any dispute about them are governed by the law of the Republic of Lithuania, and the courts of Vilnius, Lithuania have jurisdiction. Before going to court, we both agree to try to settle the dispute by talking it through in good faith for 30 days.
19. Everything else
- We may update these terms. We will post the new version here with a new date and tell clients of important changes before they take effect.
- If part of these terms can't be enforced, the rest still applies.
- If we don't enforce a right straight away, we haven't given it up.
- You may not transfer your account or these terms without our written OK.
- Notices to us go to hello@hivesolutionshq.com.
